Legislative Decree 231/2001 introduced the administrative liability of companies for certain offenses – the so‑called predicate offenses – committed, in the interest or to the advantage of the entity, by individuals in senior positions or by those subject to the company’s direction and supervision.
In the event that liability is established under the Decree, the entity may be subject to monetary fines, disqualification measures, confiscation of assets, or publication of the judgment, with potentially significant impacts on business continuity and corporate reputation.
Such liability may, however, be excluded when the company demonstrates that it has adopted and effectively implemented, prior to the occurrence of the event, an Modello di Organizzazione, Gestione e Controllo suitable for preventing the commission of offenses, and has entrusted an autonomous and independent Supervisory Body with the task of monitoring the functioning, effectiveness, and compliance with the Model.
In this context, Bhblasted Srl Società Benefit, following an analysis of its organizational structure, internal processes, and corporate control system, has adopted its own Organizational, Management and Control Model pursuant to Legislative Decree 231/2001. The Model is binding on all those who, in various capacities, maintain professional, collaborative, or service relationships with the Company.
At the same time, Bhblasted has established a Supervisory Body endowed with autonomous powers of initiative and control, tasked with monitoring the effective implementation and adequacy of the Model over time.
The adoption of the Modello 231 and the establishment of the Supervisory Body reflect Bhblasted Srl Società Benefit’s commitment to pursuing responsible, ethical, and transparent management of its activities, consistent with its nature as a benefit corporation and with the intention to prevent any form of irregularity, promote a healthy working environment, and ensure the utmost protection of stakeholders.
